SIGNATTURE TERMS OF SERVICE Signatture is an electronic platform owned by Ye Olde Software Limited Liability Company (“Ye Olde”). The following Terms of Service (“Terms”) provide crucial information, notices and guidelines for all Users of Signatture and any other Ye Olde Service. Please review the below Terms as they may apply to you and your relationship with Ye Olde during and after you utilize Signature. I. DEFINITIONS - “Signatture” means the entity and/or platform owned by Ye Olde Software Limited Liability Company; - “Member” or “Members” means a natural or legal person who engages Ye Oldefor the use of Signatture, primarily with the intent of responding to User messages for revenue; - “Member” or “Members” includes, but is not limited to, actors or actresses; television, radio, or internet personalities; athletes; artists; politicians; and other public figures; - “Message Thread” means a single set of exchanges between a single User and a single Member; this does not include a separate conversation initiated by a User vis-a-vis the same Member; - “Service” or “Services” means any service offered by Ye Olde in or through its platform(s) or as otherwise listed in these Terms; - “Terms” means these Terms of Service and any amendments thereto; - “User” or “Users” means a natural or legal person who engages Ye Olde for the use of Signatture as a consumer, primarily with the intent of connecting with Members; - “User” or “Users” include you, if you are utilizing Signatture; and - “Ye Olde” means Ye Olde Software Limited Liability Company; - “Ye Olde” also includes the acts, duties, services, and rights of Signatture. II. SERVICE PROVIDER Signatture is owned and provided by, and you are in contractual relationship with: Ye Olde Software Limited Liability Company Registered agent: United States Corporation Agents, Inc. 221 North Broad Street, Suite 3A Middletown, Delaware 19709 Ye Olde Software Limited Liability Company is a limited liability company organized under the laws of the State of Delaware in the United States of America. Ye Olde Software Limited Liability Company is subject to the laws of the State of Delaware and the United States of America. III. SERVICES PROVIDED Ye Olde provides the following Services through Signatture: - Offering possible electronic messaging connections between Users and Members; - Creating accounts for Members; - Creating “aliases” or profiles for Users; - Initial verification of Members to ensure Member identities; - Providing Users information concerning the response rate of Members; and - Providing Users information concerning the average response time of Members. IV. USER ALIAS OR PROFILE User Alias and/or Profile: Users may need their own Signatture alias and/or profile to utilize Signatture, and Users may be required to log in and have a valid payment method associated with the alias and/or profile. Users are responsible for maintaining the confidentiality of, and restricting access to, their alias and/or profile. Users also agree to accept responsibility for all activities that occur under their alias and/or profile. Minors: If a User is under eighteen (18) years of age, the User may only utilize Signatture with the involvement of a parent or guardian. Ye Olde reserves the right, at its sole discretion, to refuse service, terminate a User’s alias and/or profile, terminate Users’ rights to use Signatture, remove or edit content, or cancel orders due to a User’s underage status. Alternative Charging Method: In the event Ye Olde is unsuccessful in charging a User’s selected payment method, Ye Olde may charge any other valid payment method associated with that User’s alias and/or profile. Termination for Cause: Ye Olde reserves the right to terminate a User’s alias and/or profile at any time, and without prior notice, for the following reasons: - Failure to pay for any Ye Olde Service; - Sending improper content as described elsewhere in these Terms; or - Inactivity on Signatture for more than one (1) year. Termination Without Cause: Ye Olde may otherwise terminate a User’s alias and/or profile for any reason, provided that Ye Olde provides the affected User forty-eight (48) hours’ prior written notice. V. UTILIZATION, LIMITED LICENSE AND ACCESS Limited License: Subject to Users’ compliance with these Terms and applicable state, federal, and international laws, Ye Olde hereby grants Users a limited, non-exclusive, non-transferable, non-sublicensable license to access and make personal and commercial use of Signatture. Users hereby agree that Ye Olde is not liable for acts or obligations of Users arising from the personal or commercial use of Signatture. Third Party License: In utilizing Signatture, Users may be using the services of one or more third parties, such as a wireless carrier, mobile hardware or software provider, computing hardware or software manufacturer, or internet service provider. Users’ utilization of these third party products or services may be subject to the separate policies, terms of use, and fees of these third parties for which Ye Olde is not liable or otherwise responsible. Tampering: Users may not reverse engineer, decompile, disassemble, tamper with, or bypass any security associated with Signatture, whether in whole or in part. All rights not expressly granted to Users in these Terms are reserved and retained by Ye Olde or its licensors, suppliers, publishers, rightsholders, or other content providers. Users may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Ye Olde without the express written consent of Ye Olde. Users may not use any meta tags or any other "hidden text" utilizing Ye Olde’s name or intellectual property without the express written consent of Ye Olde. Users may use Ye Olde’s Services only as permitted by law or prior written permission of Ye Olde. Ye Olde reserves the right to terminate the limited licenses and access granted to Users who do not comply with the terms of this section. VI. PRICING Price Modification: Ye Olde reserves the right to modify, increase, or otherwise the price and/or rate for the utilization of Signatture at its sole discretion. In the event Ye Olde modifies, increases, or otherwise changes any price and/or rate for the utilization of Signatture, the previous rate shall continue to apply to those message threads whose initialization preceded the price and/or rate modification. Taxes and Fees: Ye Olde reserves the right to charge Users for applicable taxes and other state or regulatory body-imposed fees. VII. NO GUARANTEE OF MEMBER RESPONSE PLEASE NOTE THAT YE OLDE IS ONLY RESPONSIBLE FOR PROVIDING USERS THE EMAIL ADDRESSES OF PARTICIPATING MEMBERS AND ENSURING THE MESSAGES OF USERS ARE DELIVERED TO THE APPLICABLE MEMBER(S). YE OLDE STRIVES TO PROVIDE USERS UP-TO-DATE INFORMATION CONCERNING MEMBER RESPONSE RATES AND TIMES, BUT YE OLDE IS NOT LIABLE FOR ENSURING MEMBER RESPONSES. YE OLDE DOES NOT HAVE THE AUTHORITY, OBLIGATION OR RESPONSIBILITY TO REQUEST, DEMAND, OR FORCE MEMBERS TO RESPOND TO USER MESSAGES. PAYMENTS MADE TO YE OLDE ARE SOLELY FOR THE OPPORTUNITY TO CONTACT THE MEMBERS, NOT FOR GUARANTEED MEMBER RESPONSES. YE OLDE IS NOT LIABLE FOR REFUNDING FEES, TAXES OR OTHER MONETARY PAYMENTS MADE FOR THE ACTS AND/OR OMISSIONS OF PARTICIPATING MEMBERS OR FOR FAILURE OF MEMBERS TO RESPOND TO A MESSAGE. VIII. ELECTRONIC COMMUNICATIONS Electronic Communications: When Users utilize Signatture via electronic mail, text messaging, mobile application(s), or facsimile, Users communicate with Ye Olde electronically. In doing so, Users consent to receiving electronic communications from Ye Olde, including, but not limited to, electronic mail, text messages, mobile push notifications or in-app communications, or communications through Signatture. Users agree that all such communications satisfy any state, federal, or international legal requirement that such communications be in writing. Records: Ye Olde retains electronic communications between a User and Ye Olde for one (1) year from the date of communication. To request copies of electronic communications, Users must contact Ye Olde. For purposes of this section, “electronic communications” means communications via electronic mail, text messaging, mobile application(s), facsimile, and the Signatture platform. IX. COPYRIGHT All content made by or available through Ye Olde, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software is the property of Ye Olde or its content suppliers. Such content is protected by federal and international copyright laws. The compilation of any and all content included in or made available through any of Ye Olde’s Services is the exclusive property of Ye Olde and protected by federal and international copyright laws. X. LIMITATION ON IMPROPER CONTENT Law and Declaration of Policy: While Signatture is solely a platform between Users and Members, it remains subject to federal statutes and regulations concerning certain types of data or content and privacy. Furthermore, it is in Ye Olde and the public’s interest to foster a forum in which Users may successfully reach Members, without providing grounds for abuse, encouragement of violence, obscene, or otherwise objectionable material. Improper Content: In order to comply with the above laws and declaration of policy, while Ye Olde does not read messages between Users and Members, it employs a number of mechanisms to automatically filter and refuse delivery of any message containing improper content. Ye Olde reserves the right to refuse delivery of any message containing improper content. For purposes of this section, “improper content” includes, but is not limited to, words, images, attachments or other content containing: - Defamatory content; - Pornographic or otherwise obscene content; - Violent content, including content inciting violence; or - Content providing the personal or contact information (“doxxing”) of third parties or Users or Members other than the User or Member participating in the applicable message thread. Appeal: In the event Ye Olde refuses delivery of a message containing material addressed in this section, Users may appeal the decision. In such a case, Users consent to Ye Olde viewing the contents of their message(s) to ensure the relevant message was correctly rejected or refused. To file an appeal, Users must contact Ye Olde. Member Reports: Users also agree and consent to Ye Olde viewing the contents of their messages in the case that their messages are reported by Members for containing improper content. Ye Olde reserves the right to view such messages to determine the veracity of the basis for reporting and decide appropriate follow-up actions, including, but not limited to, termination of the affected User’s alias and/or profile. Law Enforcement and Subpoenas: Users also agree and consent to Ye Olde viewing and/or providing User messages to law enforcement agencies or courts of law upon request. XI. PRIVACY Privacy Policy: Please review Ye Olde’s Privacy Policy to understand what user information Ye Olde collects and how Ye Olde uses, retains, and discards this information. In-App Permissions: When using apps related to Signatture, Users may grant Ye Olde certain permissions concerning their device. It is the responsibility of Users’ mobile device and/or carrier, not Ye Olde, to inform Users which permissions are granted to Ye Olde and how to revoke said permissions. XII. DISPUTE SETTLEMENT Amicable Resolution: In the event a dispute or claim arises between a User and Ye Olde, Ye Olde will make a good faith effort to amicably resolve such a dispute or claim. Arbitration: In the event a claim or dispute between a User and Ye Olde cannot be amicably resolved, the User and Ye Olde hereby agree to binding arbitration, not the court of any geographic or administrative division of any municipality, state, country, or organization. This provision is governed by the Federal Arbitration Act and other applicable United States federal arbitration law. Users hereby agree that all disputes will be resolved through the American Arbitration Association (“AAA”). Arbitration will be conducted in accordance with the AAA’s rules. Types of Damages and Attorney Fees: Users are further hereby notified that, while there is no jury in arbitration, arbitrators may nonetheless award any type of damages a jury could. In the case of frivolous claims, Ye Olde reserves the right to request damages for attorneys’ fees as well as any and all other costs of arbitration. Consequential Damages: Neither Users, nor Ye Olde will have any liability to the other for any loss of profits or revenues, loss of goodwill, or for any indirect, special, incidental, consequential or punitive damages arising out of, or in connection with these Terms, however caused, whether in contract, tort (including negligence), warranty, indemnity or any other legal theory, and whether or not the non-breaching party has been advised of the possibility of such damages. Jury Trial Waiver: Furthermore, notwithstanding the above provisions, should any claim arise in a court of law, Users and Ye Olde hereby waive their right to a jury trial. Class-Action: Finally, Users and Ye Olde agree that Users will not bring a claim - in either arbitration or a court of law - as members of a class or consolidation pursuant to any applicable state, federal or international law. XIII. CHOICE OF LAW Choice of Law: All issues and questions concerning the construction, validity, enforcement and interpretation of these Terms shall be governed by, and construed in accordance with, the laws of the State of Delaware, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of Delaware or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than the State of Delaware. XIV. EFFECTIVE DATE These Terms become effective when a User creates a Signatture alias and/or profile or otherwise utilizes Ye Olde’s Services, whichever occurs first. These terms remain effective as long as a User maintains a Signatture alias and/or profile or otherwise utilizes Ye Olde’s Services, whichever occurs later. XV. MODIFICATION AND DISCONTINUATION Modification of Terms: Ye Olde may, at its sole discretion, periodically update these Terms. In the event such an update is issued, Ye Olde may communicate with Users through Signatture and/or the contact method provided to Ye Olde by each User. Discontinuation of Service(s): In the event Ye Olde discontinues any Service(s), it will provide forty-eight (48) hours of written notice to all affected Users of such discontinuation, unless Ye Odle intends to supersede the discontinued Service(s) with comparable service(s), in which case no written notice shall be required.
